Terms of Service

1. Payment Terms

Phased Payment Structure:

For Website Development and E-Commerce Development Services, the following phased payment structure will apply:

• 50% Deposit: A 50% deposit is required before the start of the project and covers the UI/UX design phase. This deposit is non-refundable as staff and resources will be allocated to the project.

• 30% Payment: This payment is due after the UI/UX design phase has been completed and approved by the client. The payment must be made before the project proceeds to the web development phase. This payment is non-refundable.

• 20% Final Payment: The final payment is due before the final testing and publishing of the website. This payment is also non-refundable.

Note: All payments must be made promptly according to the phase milestones outlined above to ensure timely delivery of the project.

2. Dormant Project Policy

Websites that have awaited a client response for more than 14 days (2 weeks) will be placed into dormant status. In such cases, the project will be considered complete in its current state, regardless of the progress made.

To reactivate a dormant project and complete it per the original specifications, an additional fee of 25% of the total project value will be incurred.

3. Service Specific Terms

• Three-Part Payment Structure: This payment plan is only applicable for website development and e-commerce development services. For services such as SEO and paid advertising, full payment is required upfront.

• Recurring Services: Services such as website maintenance, paid ads and SEO can be cancelled at any time, provided a 1-month notice period is given. Please note that a setup fee is applicable for paid advertising services.

• Refunds: Refunds are only applicable if the service has not been delivered by our team. Refund requests will be processed within one month. Payments will be made at the end of the month by our billing department.

 

Refund Policy for Deposits: Refunds for the 50% deposit (website and eCommerce development) cannot be requested once it has been paid if the client has failed to provide the necessary information required to proceed with the project within 7 days (1 week) from the deposit payment date. In the event the client decides to cancel the service after the 7-day period, the deposit will not be refunded.

4. Website Management and Maintenance

• Post-Project Responsibility: We are not responsible for websites that we do not manage once the project is completed. Cosimo Web & Design will not be held liable for any issues or incidents that arise after the completion of the project. We will also not retain any updates for client websites once the project has been finished.

• Website Maintenance Clients: Only clients who opt for our website maintenance services will be entitled to ongoing support and updates. These clients will also receive paid/premium plugins with the license of usage included in the maintenance package. Clients who do not pay for maintenance will be responsible for acquiring their own plugin licenses.

5. Availability and Project Slots

We take a limited number of clients at a time to ensure the highest quality of service. As a result:

• We may not be immediately available for new projects or to continue working on dormant projects that are reactivated.

• Invoices: Our invoices are valid for 7 days. Please ensure you make payments within this timeframe to secure your project slot before space runs out.

• Quotes: Our quotes are valid for one month. After this period, prices may differ from the original quote or invoice.

6. Miscellaneous Terms

• Intellectual Property: Upon full payment, the ownership of the design and development work will transfer to the client. However, Cosimo Web & Design retains the right to showcase the work in its portfolio and promotional materials.

• Liability: Cosimo Web & Design is not responsible for any damages, losses, or issues arising from the use of third-party services, plugins, or external platforms that may be integrated into the client’s website.

• Governing Law: These terms will be governed and construed in accordance with the laws of South Africa.
